Terms of Service

Effective September 21, 2026

These Terms govern your use of Convo's websites, applications, language-learning tools, AI tutoring, and related services (the “Service”). The Service is operated by Convergic, LLC, based in New York, United States (“Convergic,” “we,” “us,” or “our”). Contact us at support@convergic.io.

By creating an account, accepting these Terms, or using the Service after these Terms are made available to you, you agree to them. If you do not agree, do not use the Service. Our Privacy Policy explains how we handle personal information. Accepting these Terms does not replace any separate consent required for AI processing, optional tutor memory, or recurring payments.

For an existing account, material revisions apply after the notice and any fresh agreement required under the earlier terms and applicable law. Until then, the earlier terms continue to govern that account. You can request a copy of an earlier version at our contact address.

1. Eligibility and your account

You must be legally able to enter into this agreement, or have a parent or legal guardian's permission and supervision where the law permits. You must meet the minimum age and consent requirements that apply where you live. Convo is not directed to children under 13. Do not create an account for a child who cannot lawfully use the Service. An App Store age rating describes content suitability; it does not replace legal consent requirements.

Provide accurate account information, keep your sign-in credentials private, and tell us promptly if you suspect unauthorized access. You are responsible for activity you authorize through your account. You are not responsible under these Terms for losses caused by our breach of duties that the law places on us. Do not impersonate another person, sell your account, or share it to evade subscription or usage limits.

If you use the Service on behalf of an organization, you confirm that you may bind it to these Terms. Convo is a consumer learning service; these Terms do not establish a school, employer, or enterprise data-processing agreement.

2. Language learning and AI features

Convo offers language practice, generated lessons, written and spoken feedback, conversations, learning recommendations, and progress tracking. Features depend on your plan, language, device, and service availability. The plan description shown before purchase identifies the features included in your subscription.

Convo's tutors and conversational characters are AI systems, not human teachers. Generated text, translations, pronunciation feedback, scores, and recommendations can be inaccurate, incomplete, biased, offensive, or inappropriate. Check important information independently. A proficiency estimate is not an accredited examination result, professional qualification, or guarantee of fluency.

AI characters simulate conversations for practice. Their statements do not express Convergic's views or create promises, purchase terms, professional relationships, or commitments on our behalf. A character's mention of a person, business, or product does not establish an affiliation or recommendation by Convergic.

Text and speech features may rely on third-party providers. Relevant learning content, conversation context, and recordings are processed as described in the Privacy Policy and the permission screens for those features. Providers and models may change, and responses may vary between attempts. Declining or withdrawing a required permission may make the associated feature unavailable. Optional tutor memory has its own controls.

Keep passwords, payment credentials, confidential work, and sensitive information about yourself or others out of practice conversations. Obtain any necessary permission before submitting someone else's information or recording their voice. Evaluate generated work before sharing or relying on it, particularly where a mistake could harm someone.

The Service is for language learning. It does not provide medical, mental-health, legal, financial, immigration, emergency, or other professional advice. Do not rely on it to make safety-critical decisions or contact emergency services. Practice safely and do not use recording or interactive features while driving or when they could distract you from a hazardous activity.

3. Subscriptions, trials, and payment

Subscriptions renew automatically until canceled. Before you purchase, the purchase screen and Apple's confirmation sheet show the applicable plan, price, currency, billing period, and any available introductory offer. You authorize the recurring charges you separately approve. Taxes and currency treatment are determined by the checkout and applicable law. Your payment provider or app marketplace handles payment details; we do not receive your complete payment-card number.

Our current paid plans are Basic, for text tutoring and practice, and Full, which adds voice features. Current App Store products bill monthly. Prices may vary by storefront. The price shown for your purchase controls; an example price elsewhere is not a binding quote.

A free trial is available only when the store offers it to you and you are eligible. Eligibility may depend on your Apple Account's previous subscriptions in the same subscription group. Changing tiers, reinstalling the app, or opening another Convo account does not guarantee another trial. If you accept a trial, paid billing begins at the price and time disclosed unless you cancel before the applicable deadline. Apple advises canceling a free or discounted trial at least 24 hours before it ends.

Apple processes App Store payments, renewals, plan changes, and refunds under its terms. Payment is charged to your Apple Account when you confirm a paid purchase, or when an accepted trial converts. Renewal charges may be processed during the 24 hours before the current period ends. Upgrades, downgrades, credits, and their effective dates follow the terms Apple shows for the change.

To cancel: in Convo, open Settings, then Account, then Cancel subscription to open Apple's subscription controls. You can also open your device's Settings, select your name, then Subscriptions, then Convo. You do not need to telephone us or explain why you are canceling. Follow Apple's displayed cancellation deadline and confirmation.

Canceling normally stops the next renewal and preserves paid access through the period already purchased. Trial access may end immediately on cancellation, as Apple's interface explains. Deleting the app or your Convo account does not cancel an Apple subscription. Cancel the subscription separately to prevent further renewals.

Request an App Store refund through Apple's refund service. Contact us if you cannot access something you paid for. Refund eligibility is determined by applicable law and Apple's policies; these Terms do not remove statutory refund, withdrawal, or other consumer rights. We do not impose an additional cancellation fee.

We may change prices prospectively. We or Apple will provide the notice and obtain the consent required by law and platform rules. A price change does not retroactively increase charges for a period already purchased. If you do not accept a change, cancel before it takes effect.

Restoring access. Use Restore Purchases with the Apple Account used for the purchase and the Convo account associated with it. Restoration verifies an existing purchase; it does not create another subscription or transfer one between unrelated Convo accounts. Contact us if verification fails. Access may change when Apple reports an expiry, refund, or revocation, subject to any applicable grace period and your legal rights. Not using the Service does not pause billing or automatically earn a refund.

Offers and complimentary access. If we offer a discount or temporary access, the offer states its eligibility, duration, included features, and any renewal terms. Offers cannot be combined or transferred unless their terms permit it. We may withdraw access obtained through fraud or evasion of an offer's eligibility rules. A complimentary grant does not authorize a later charge; a paid subscription requires your separate purchase authorization.

4. Beta and TestFlight access

Features or builds identified as beta, preview, or TestFlight are provided for evaluation. They may be incomplete, behave differently from a public release, or lose saved work. Keep a separate copy of anything important. A test invitation or preview feature does not promise permanent access or inclusion in a future subscription. We may change or end a test, subject to any paid commitment and rights that applicable law protects.

Apple's TestFlight terms also apply when you use that service. TestFlight purchases are test transactions and do not provide a paid subscription for the public App Store version. Diagnostics and feedback are handled as explained in our Privacy Policy and Apple's TestFlight notices.

5. Responsible use and service limits

Use the Service lawfully and respect other people's rights. Do not:

Learning conversations may discuss ordinary real-life subjects, including difficult subjects, within these limits. We may apply reasonable usage, cost, security, and capacity limits, and temporarily restrict features to protect availability. We will describe material plan limits before purchase and will not use this clause to avoid providing paid benefits or remedies required by law.

We may refuse a request, restrict a feature, or remove content when reasonably needed to enforce these rules, address a rights complaint, protect users, or comply with law. Automated safeguards can make mistakes and do not guarantee that every inappropriate response will be prevented. Report harmful output, suspected misuse, or an incorrect restriction to support@convergic.io with enough context for us to investigate. Send only the personal information needed for the report.

6. Your content and our intellectual property

You retain the rights you have in the text, speech, recordings, and other material you submit (“Your Content”). You give us a nonexclusive, worldwide, royalty-free license to host, transmit, reproduce, process, and adapt Your Content only as reasonably necessary to provide the features you request, maintain and secure the Service, respond to support requests, and meet legal obligations. This includes sending it to third-party providers, including providers of AI and speech services, as described in the Privacy Policy and your consent choices.

This license does not authorize selling your private conversations or publicly identifying you in advertising. It ends when the content is deleted, except for copies and limited records lawfully retained as explained in the Privacy Policy. Revoking an optional processing consent affects the associated feature and future processing; it does not undo processing already lawfully performed.

As between you and Convergic, you may use output generated for you for lawful personal and professional purposes, subject to these Terms and any third-party rights. We do not claim ownership of your original input. AI output may not qualify for copyright protection, may resemble output given to others, and may include material in which third parties have rights. We do not promise exclusivity, originality, or freedom from infringement.

Convergic and its licensors retain rights in the application, software, branding, interface, curriculum organization, and other Service materials. We grant you a limited, nonexclusive, nontransferable right to use them through the Service for its intended purposes while you comply with these Terms. Open-source components remain subject to their own licenses.

Using Convo does not give you permission to sell our lesson library, sublicense the Service, or use our branding to suggest sponsorship or approval. You may use the sharing, download, and export features we actually provide, subject to these Terms. Nothing here removes an exception or right that copyright or other applicable law gives you.

If you choose to send product suggestions, we may use them without compensation or an obligation to implement them. That permission does not override your privacy rights or convert personal learning content into public feedback.

For an intellectual-property complaint, email our contact address identifying the work or right, where the disputed material appears, why you believe it infringes, and how we can reach you. Tell us whether you own the right or are authorized to act for its owner. We may request supporting information, restrict disputed material while investigating, and address repeated infringement under our account rules. Applicable notice, response, and challenge rights remain available.

7. Devices, third parties, and Apple

You are responsible for a compatible device, internet access, and any carrier charges. Permissions such as microphone access are used for the associated features and can be changed in device settings. Third-party websites, account providers, and app stores have their own terms and privacy practices.

Some features require a network connection or a supported operating-system version. Install updates needed for security and compatibility. We may change technical requirements as the Service evolves, subject to required notice and any update or support obligations that apply to a paid service. A link to an external resource does not mean we control or endorse that resource. Our use of third-party providers does not remove our own obligations under these Terms or the Privacy Policy.

For the iOS application, Apple's Standard Licensed Application End User License Agreement governs the license to the downloaded application unless a valid custom license is separately provided in the App Store. These Terms govern the Convo service and subscriptions alongside that license. Mandatory Apple usage rules and applicable consumer law prevail over conflicting provisions here.

Your agreement for the Convo service is with Convergic, not Apple. Convergic is responsible for the Service, its support, and claims about it to the extent required by law. Apple has no obligation to provide Convo maintenance or support. If the application fails an applicable warranty, you may notify Apple, which may refund its purchase price under the applicable rules; other warranty and product obligations remain with Convergic to the extent required by law. Nothing here limits Apple's rights or your remedies under its standard license.

You must comply with applicable export controls and sanctions. Do not use the Service where access is prohibited by law or on behalf of a prohibited person or entity.

8. Changes, suspension, and termination

We may update, replace, or discontinue features as the Service develops. Where a change materially reduces a paid service during a prepaid period, we will provide notice and the cancellation, refund, or other remedy required by law. We may interrupt access for maintenance, security, outages, or circumstances beyond our reasonable control.

We may suspend or terminate access for a material breach, unlawful use, fraud, nonpayment, or a substantial security risk. Where reasonably possible and appropriate, we will explain the reason and provide an opportunity to correct it. Immediate action may be necessary to prevent harm or comply with law. You can contact us to challenge a restriction.

You may stop using the Service at any time and delete your account in Settings under Account. Export information you want to retain before deletion. Account deletion and subscription cancellation are separate actions. Termination does not erase accrued payment obligations, lawful record-retention duties, or provisions intended to survive, including intellectual-property rights, liability limits, and dispute provisions.

9. Warranties and liability

Your mandatory consumer rights remain intact. Nothing in these Terms excludes or limits a guarantee, duty, or remedy that cannot lawfully be excluded, including applicable rights to satisfactory quality, reasonable care and skill, conformity, refunds, or compensation.

To the extent the law permits, the Service is provided “as is” and “as available,” without additional implied warranties of merchantability, fitness for a particular purpose, title, or noninfringement. We do not guarantee uninterrupted access, error-free AI output, a particular learning result, or compatibility with every device. These qualifications do not excuse our failure to exercise care required by law.

To the extent permitted by law, neither party is liable to the other for indirect, incidental, special, consequential, or punitive damages, or lost profits, arising from these Terms. Convergic's total liability for claims arising from the Service is limited to the greater of US$100 and the amounts you paid for the Service during the 12 months before the event giving rise to the claim.

Those exclusions and limits do not apply to fraud, intentional misconduct, gross negligence where it cannot be limited, death or personal injury caused by negligence where liability cannot be limited, or any other liability the law does not allow us to exclude or cap. They do not limit statutory data-protection or consumer remedies. If local law does not permit a limitation, the limitation applies only to the extent allowed.

If you use the Service for a business or commercial organization, and only to the extent permitted by law, you agree to reimburse us for reasonable losses and costs arising from a third-party claim caused by your unlawful use, infringement of another person's rights, or material breach of these Terms. This obligation does not apply to personal consumer use, our own fault, or claims we settle without your reasonable involvement. We will promptly notify you and permit reasonable participation in the defense.

10. Disputes and local rights

Please contact support@convergic.io so we can try to resolve a problem. You are not required to complete an informal process before taking action when the law gives you an immediate remedy, and contacting us does not shorten or waive a legal deadline.

New York law governs these Terms to the extent permitted by law, without depriving you of mandatory protections in your country or state of residence. Courts in New York have nonexclusive jurisdiction. You may bring a consumer claim in your local courts whenever applicable law permits. These Terms impose no mandatory arbitration, class-action waiver, or shortened statutory claim period.

Consumers in the European Economic Area, United Kingdom, Brazil, and other jurisdictions retain applicable cancellation, withdrawal, conformity, data-protection, and dispute-resolution rights. Any legally required request to begin digital performance during a withdrawal period, or acknowledgment affecting withdrawal rights, must be obtained through the applicable purchase process; these Terms alone do not obtain it.

11. Updates and other terms

We will post updated Terms with a new effective date. For material changes, we will provide reasonable advance notice through the Service or an appropriate account communication, except when a legal or urgent security reason requires a faster change. We will seek fresh agreement where required. Changes will not retroactively resolve an existing dispute in our favor. You may stop using the Service and cancel renewal if you do not agree to a prospective change.

Additional terms for a particular feature or offer apply only if made available before you choose it and accepted where required. They govern that feature or offer in the event of a conflict with these general Terms, while applicable law and mandatory platform rules still control. They do not silently replace your privacy permissions. Keep a copy of the terms and purchase confirmation that apply to your order.

These Terms, applicable plan terms presented at purchase, and any applicable application license form the agreement for the Service. If a provision is unenforceable, the remaining provisions continue to apply to the extent lawful. Failure to enforce a provision on one occasion is not a waiver. We may transfer this agreement as part of a merger, reorganization, or sale if your rights and mandatory protections are preserved and any required notice is provided. You may not transfer your account without our permission, except where law provides otherwise.
